Convinco Terms of Use

These Convinco (Qspot sp. z o. o.) Terms of Use (the "Terms") govern access to and use of the Convinco website located at https://www.convinco.co/ and any related web pages, our desktop application, and any related products, content or services we make available (collectively, the "Services"). The Services together provide an AI‑powered sales assistant that, when you choose to activate it, records audio from your computer, transcribes conversations, and routes prompts to third‑party large‑language‑model (LLM) providers so it can generate suggestions, summaries and answers that help you close more deals. Qspot sp. z o. o. (referred to in these Terms as "Convinco," "we," or the "Company") owns and operates the Services. Please read these Terms carefully before using the Services. Our handling of personal data is described separately in our Privacy Policy, which is incorporated into these Terms by reference.

1.  Convinco’s business

Convinco operates an AI‑powered sales assistant delivered primarily through a desktop application. When you instruct it to do so, the application captures the audio input from your microphone and the audio output played by your computer (including remote participants on a call), transcribes the conversation in real time, and lets you prompt large‑language‑model providers — currently Anthropic, OpenAI and Google — to receive live guidance, suggested responses and post‑call summaries. The Services also include an optional Google Calendar widget that displays your upcoming events, and a company‑knowledge upload tool that lets you provide documentation about your organization so the assistant can ground its answers in your context using retrieval‑augmented‑generation (RAG) and Model Context Protocol (MCP)‑backed pipelines. Current pricing and the credit cost of each billable action are available on our Pricing Page.

2.  Acceptance of the Terms and eligibility requirements

By accessing or using the Services, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree to these Terms or the Privacy Policy, do not access or use the Services.

The Services are intended for users who are 16 years of age or older. By using the Services, you represent that you meet this requirement. If you are using the Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. Where you are using the Services pursuant to a separate subscription agreement or order form (a "Service Agreement"), that Service Agreement will take precedence in the event of a conflict with these Terms.

3.  Changes to the Terms

Convinco may revise these Terms from time to time by posting the updated Terms within the Services. Changes are effective immediately upon posting and apply to all subsequent access to and use of the Services. For material changes, we will use reasonable efforts to provide advance notice through the desktop application, by email, or on the Website. Your continued use of the Services after changes have been posted constitutes your acceptance of the updated Terms. You should review this page periodically for updates.

4.  Access to the Services; license grant

Subject to these Terms and any applicable Service Agreement, Convinco grants you a non‑exclusive, non‑transferable, revocable license to access and use the Services, including to install and run the desktop application on devices you own or control, for your personal or internal business purposes. Convinco and its licensors retain all rights in the Services and the underlying technology. Convinco may modify, suspend or discontinue the Services at any time without notice. Convinco may suspend or terminate your access if you violate these Terms or your Service Agreement. From time to time Convinco may restrict access to parts of the Services or require registration for access.

You may be required to provide registration details or other information to access certain features. You represent that all information you provide is accurate and complete and you consent to Convinco’s handling of your information as described in our Privacy Policy. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must not share your account with anyone else.

5.  Recording, transcription and participant consent

The desktop application can record audio only when you actively start a recording session, and stops when you end it. When you record, both your microphone input and the audio output of your computer (including the voices of remote participants on a call) may be captured and transcribed.

Your responsibility. Recording laws vary widely. Many jurisdictions — including, for example, several U.S. states such as California and Florida, and most countries in the European Economic Area and the United Kingdom — require the consent of all parties or specific notice before a conversation may be recorded. You are solely responsible for understanding and complying with all laws, regulations, contracts and workplace policies that apply to you and to the other participants on any call you record or transcribe with the Services. This includes obtaining any required consents, providing any required notices, and respecting any objections raised by other participants. Convinco does not obtain consent on your behalf and makes no representation that any particular use of the Services is lawful in your jurisdiction. By using the recording and transcription features, you represent and warrant that you have obtained all necessary rights and consents from every person whose voice or contributions are captured.

You agree to indemnify Convinco for any claim brought by a third party arising from your failure to obtain such consents (see Section 17, Indemnification).

6.  Credits, paid plans and fees

6.1  Credit‑based model

The Services operate on a credit‑based model. Billable actions in the desktop application — including, at minimum, recording audio and sending prompts to AI models — consume credits from your account balance at the rates published on our Pricing Page. Convinco may change the credit cost of any action prospectively; we will use reasonable efforts to provide advance notice of material changes, and any change will apply to actions taken after the change is effective. If your balance is insufficient, the corresponding action will be unavailable until you top up.

6.2  One‑time credit packs

You may purchase one‑time packs that add a fixed number of credits to your account immediately upon successful payment. One‑time credits do not expire while your account remains in good standing.

6.3  Subscriptions and credit rollover

You may purchase a recurring subscription that adds a fixed number of credits (the "Monthly Allotment") to your account each billing period. Unused subscription credits roll over indefinitely. If your subscription ends or is cancelled (whether by you, by Convinco for non‑payment, or for breach of these Terms), any rolled‑over subscription credits remaining at the time of cancellation are retained. One‑time pack credits remain in your account and are not affected by subscription cancellation. Subscriptions renew automatically at the then‑current price for the same billing period until you cancel.

6.4  Payment processing

Payments are processed by our third‑party payment processor, Stripe. By providing payment details, you authorize Convinco (acting through Stripe) to charge your selected payment method for one‑time credit purchases at the time of purchase and for subscription fees on each renewal date until you cancel. You are responsible for keeping your payment method current and for all applicable taxes (Convinco may add VAT or other taxes where required by law). Stripe’s own terms and privacy practices govern its processing of your payment information.

6.5  Price changes

Convinco may change subscription prices and the credit cost of actions. We will provide advance notice of any subscription price increase, and any increase will take effect on your next billing cycle (you may cancel before then to avoid the new price).

6.6  Cancellation, refunds and consumer rights

You may cancel your subscription at any time from within the Services or by contacting us. Cancellation takes effect at the end of the current billing period; we do not provide pro‑rata refunds for partial periods. Except where required by law, all credit purchases and subscription fees are non‑refundable. If you are a consumer in the European Economic Area, the United Kingdom or another jurisdiction that grants a statutory right of withdrawal, you have a right to withdraw from a purchase of digital content or a subscription within 14 days of purchase unless you have already started using the credits or otherwise consumed the digital content, in which case the right of withdrawal may be lost. Convinco may suspend or downgrade your account if a payment fails or is charged back, or if you breach these Terms.

7.  User responsibilities

7.1  Access

You are responsible for ensuring that you have the necessary hardware, supported operating system, internet connectivity and any other arrangements (including the operating‑system permissions required for microphone and system‑audio capture) needed to access and use the Services.

7.2  Contributed Material

You may submit recordings, transcripts, prompts, scripts, presentations, company‑knowledge files, text, audio or other materials to the Services (collectively, "Contributed Material"). Contributed Material you provide is owned by you, subject to Convinco’s ownership of its underlying technology. You grant Convinco a worldwide, non‑exclusive, royalty‑free licence to host, store, transmit, copy, transcribe, embed, index, and otherwise process Contributed Material solely as necessary to provide and operate the Services for you, and to share Contributed Material with the sub‑processors identified in our Privacy Policy (including our LLM providers) to the extent required to deliver the feature you requested. Convinco does not use Contributed Material to train its own foundation models, and instructs its AI‑model sub‑processors to handle Contributed Material on a no‑training, zero‑data‑retention basis where their APIs offer such an option.

You represent and warrant that you have all necessary rights, permissions and consents to provide Contributed Material (including consents from any persons whose voices or personal data appear in recordings, transcripts or uploads) and that Contributed Material does not violate applicable law or the rights of any third party. Convinco will maintain the confidentiality of Contributed Material and will not sell or intentionally disclose it to third parties except as described in these Terms or the Privacy Policy.

7.3  Authorized users

If you permit employees, agents or contractors to use the Services under your account (collectively "Authorized Users"), you are responsible for ensuring that they are aware of these Terms and comply with them, and that they obtain any consents required for any recordings or uploads they make. Where applicable, you must acquire separate licences for each Authorized User.

7.4  Customer data

You are responsible for the data you record, upload, prompt with or otherwise enter into the Services ("Data"). You agree to take reasonable precautions to prevent Data from containing malware or other harmful elements, and not to upload content that is unlawful, infringing, defamatory or that you do not have the right to upload. Although Convinco maintains backups of its production systems for resilience, you are solely responsible for maintaining your own back‑ups of any Data you wish to preserve outside the Services and for ensuring that it is accurate and complete.

7.5  Restrictions and limitations

You agree that you will not:

  1. Allow anyone other than your Authorized Users to access the Services or share your account credentials.
  2. Copy, modify or create derivative works based on the Services.
  3. Rent, lease, sell, sublicense, assign or otherwise transfer rights in the Services or in credits.
  4. Reverse engineer, decompile or attempt to discover the source code of the Services or the desktop application.
  5. Remove proprietary notices from the Services.
  6. Use the Services in a manner that infringes or violates another person’s intellectual‑property, privacy or publicity rights or any applicable law.
  7. Use bots, scrapers or similar tools to access the Services without Convinco’s prior consent, or attempt to abuse the credit system (for example, by exploiting bugs to obtain credits you have not paid for or to consume credits without authorization).
  8. Introduce viruses, malware or other harmful code into the Services or attempt to gain unauthorized access to Convinco’s systems.
  9. Disable, tamper with or attempt to circumvent any recording‑indicator, consent prompt or other safeguard built into the desktop application.

You will comply with the limits of any licence granted and allow Convinco to monitor usage for compliance. You will immediately notify Convinco of any unauthorized use of your credentials or any security incident involving the Services.

8.  AI features and outputs

8.1  Ownership of outputs

As between you and Convinco, and to the extent of any rights Convinco has in the outputs generated by the AI features of the Services in response to your prompts and Contributed Material (including transcripts, summaries, suggested responses, action items and similar generated content, collectively the "Outputs"), Convinco assigns those rights to you. You are free to use the Outputs for your personal or commercial purposes. You acknowledge that, due to the nature of generative AI, identical or similar Outputs may be produced for other users from independent inputs, and that the legal status of AI‑generated content (including its eligibility for copyright protection) varies by jurisdiction and is unsettled in many places.

8.2  Accuracy and verification

AI Outputs may be inaccurate, incomplete, misleading or fabricated (“hallucinated”), and may not reflect current information or the specifics of your situation. Outputs are provided for informational and productivity purposes only and do not constitute legal, financial, medical, tax or other professional advice. You are responsible for reviewing and verifying every Output before relying on it, sending it to a customer or counterparty, or otherwise acting on it.

You agree not to use the AI features of the Services to:

The Services and all content provided by Convinco — including text, images, audio, video, software and the selection and arrangement of such content — are owned by Convinco, its licensors or other providers and are protected by copyright, trademark, patent and other intellectual‑property laws. You may use the Services for your personal or internal business purposes only as expressly permitted by these Terms. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store or transmit any material that forms part of the Services itself (as opposed to your Contributed Material or Outputs) except as follows:

You must not modify copies of materials from the Services or remove copyright or proprietary‑rights notices. If you breach these Terms by printing, copying or downloading materials, your right to use the Services will cease and you must destroy any copies of the materials.

10.  Copyright infringement

If you believe that material hosted on the Services infringes your copyright, please contact us (see Privacy Policy page) for submitting a notice of alleged infringement. Convinco will terminate repeat infringers’ accounts in appropriate circumstances.

11.  Service‑mark notice

"Convinco" and the Convinco logo, and all related names, logos, product and service names and designs, are service marks of Convinco. You must not use these marks without our prior written permission. Other product and company names appearing in the Services are trademarks of their respective owners.

You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

Convinco has no control over those services and does not endorse or guarantee them. If you access third‑party services through the Services, you do so at your own risk and subject to the terms and policies of those services.

14.  Website links

14.1  Linking to the Website

You may link to Convinco’s homepage, provided you do so in a way that is fair and legal and does not damage or exploit Convinco’s reputation. You must not suggest any form of association, approval or endorsement by Convinco without our express written consent.

14.2  Links from the Website

The Website may contain links to third‑party sites and resources for your convenience. Convinco has no control over those sites and does not endorse or guarantee them. Convinco is not responsible for any loss or damage that may arise from your use of third‑party sites. If you access third‑party sites, you do so at your own risk and subject to the terms and policies of those sites.

15.  Disclaimer of warranties

You acknowledge that the internet and computer systems are not fault‑free and that Convinco cannot guarantee that the Services will be available without interruption or error. Convinco does not warrant that files available for downloading (including the desktop application and its updates) will be free from viruses or other harmful code. You are responsible for implementing appropriate virus protections and backup procedures. To the fullest extent permitted by law, Convinco disclaims all warranties of any kind, whether express or implied, statutory or otherwise, including but not limited to warranties of merchantability, non‑infringement and fitness for a particular purpose. Convinco does not warrant the accuracy, completeness, reliability or availability of the Services or any Outputs, that the Services will meet your expectations, that transcripts will be free of errors, or that AI suggestions will lead to any particular business result. Statutory warranty rights of consumers under applicable mandatory law are not affected.

16.  Limitation of liability

To the maximum extent permitted by law, in no event will Convinco, its affiliates or their licensors, service providers, employees, agents, officers or directors be liable for any indirect, incidental, consequential, special or punitive damages (including lost profits, lost revenue, lost data, lost business or reputational harm) arising out of or in connection with your use or inability to use the Services or any Outputs, under any legal theory. Convinco’s total liability for direct damages arising from your use of the Services will not exceed the greater of US $100 or the amount you paid to Convinco for the Services that gave rise to the claim in the twelve months preceding the claim. The foregoing limitations do not apply to liability resulting from gross negligence or wilful misconduct or to any liability that cannot be excluded under applicable law.

17.  Indemnification

You agree to indemnify, defend and hold harmless Convinco, its affiliates, licensors and service providers, and its and their respective officers, directors, employees and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorneys’ fees) arising out of or relating to (a) your violation of these Terms, (b) your use of the Services or any Outputs, (c) your Contributed Material, or (d) your failure to obtain any consents required to record, transcribe or process other people’s voices or personal data through the Services.

18.  Security

Convinco will maintain commercially reasonable technical and organizational measures to protect personal data and other information that it processes from unauthorized or unlawful access, alteration and destruction. Convinco will notify you of any breach of security involving your data as required by applicable law and will provide details of the incident, the results of its investigation and the measures taken to mitigate the breach.

19.  General provisions

Operation; applicable law. Convinco operates the Services from its offices in Poland. Convinco makes no representations that the Services are appropriate or available for use in other locations. Accessing the Services from territories where their content is illegal is prohibited. If you access the Services from outside Poland, you do so at your own risk and are responsible for compliance with local laws. These Terms and any dispute or claim arising out of or relating to them or the Services will be governed by and construed in accordance with the laws of Poland without giving effect to any conflict‑of‑law provision or rule. For business users, exclusive jurisdiction shall lie with the courts competent for the registered office of Convinco (Poznań, Poland). For consumers, statutory provisions regarding jurisdiction apply.

Feedback. We welcome your feedback about the Services. If you submit comments or suggestions, you agree that Convinco may use them without restriction or compensation to you.

Entire agreement. These Terms, together with our Privacy Policy and any Service Agreement between you and Convinco, constitute the entire agreement between you and Convinco regarding the Services and supersede all prior or contemporaneous understandings or agreements with respect to the Services.

Severability. If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect.

Notices. Communications made through the Services’ contact forms or messaging features do not constitute legal notice to Convinco. You must send legal notices to the address set out in your Service Agreement or, if no Service Agreement exists, to the address provided on the Privacy Policy page.

Waiver. No waiver by Convinco of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure by Convinco to assert a right or provision under these Terms does not constitute a waiver of such right or provision.

Reservation of rights. Convinco reserves all rights not expressly granted in these Terms or a Service Agreement. Except for the limited rights and licences expressly granted, no rights or licences are granted by implication or otherwise.
